Changes in the Minimum Amount Incorporation Capital of Companies

According to the Presidential Decree dated 25 November 2023 and numbered 32380 and the Correction dated 26 November 2023 and numbered 32381 published in the Official Gazette, the minimum amount of capital required for the establishment of companies has been increased.

Pursuant to the Regulation;

– The minimum capital amount for joint stock companies has been increased from TRY 50,000 to TRY 250,000,

– For non-public joint stock companies that have adopted the registered capital system, the minimum initial capital shall be increased from TL 100,000 to TL 500,000.

– The minimum capital amount for limited liability companies has been increased from TL 10,000 to TL 50,000.

These minimum amounts will enter into force for new joint stock and limited liability companies to be established as of 1 January 2024.

Pursuant to the statement made by the Ministry of Trade, although there is no obligation to increase the capital of existing companies with capital below the mentioned amounts at this stage, it is beneficial for them to increase their capital to at least the mentioned amounts in order to strengthen their equity structures.
